Subscription & Auto-Renewal Terms

1. Introduction and acceptance

These Subscription & Auto-Renewal Terms ("Terms") govern paid subscriptions to AIshala, the online AI learning platform at aishala.in (the "Service"). The Service is operated by OrangeShark Pvt Ltd, a company registered in India with its office at Gachibowli, Hyderabad, Telangana 500032, India ("AIshala", "we", "us", "our").

These Terms form part of, and should be read with, our Terms & Conditions and Privacy Policy. By subscribing to AIshala, you confirm that you have read and agree to these Terms. If you do not agree, please do not subscribe.

You must be at least 18 years old, or have the consent of a parent or legal guardian, to buy a subscription.

Key definitions

• Subscription: paid access to AIshala's courses, learning modules, AI tools, challenges, resources and other features included in your plan.
• Subscription Period: the 14-day billing cycle of your Subscription.
• Renewal Date: the day your current Subscription Period ends and the next one begins.
• Payment Method: the card, UPI AutoPay mandate, net banking mandate or other method you use to pay.

2. Subscription plan and period

AIshala offers one subscription plan with a 14-day Subscription Period. The price and what the plan includes are shown on the checkout page before you pay. What you see at checkout, including the renewal price, is part of your agreement with us.

Your Subscription starts when your first payment is confirmed. It stays active for 14 days from that date. If auto-renewal is on, it renews for another 14 days on each Renewal Date (see Section 3).

We may change what the plan includes, or offer new plans, from time to time. Changes do not affect a Subscription Period you have already paid for.

3. Auto-renewal and payment authorisation

If you turn on auto-renewal and give the required payment authorisation, your Subscription renews automatically every 14 days until you cancel. You authorise AIshala and its payment service provider to charge the renewal fee to your Payment Method on each Renewal Date.

Recurring payments in India

Recurring charges are set up as an e-mandate under the Reserve Bank of India's rules on recurring payments. This means:

• You register the mandate once, with additional authentication (such as OTP or UPI PIN), when you first subscribe.
• Your bank, card issuer or UPI app will send you a pre-debit notification at least 24 hours before each renewal charge.
• Renewals above the limit set by RBI for this category (currently ₹15,000 per transaction) need your fresh authentication each time.
• You can pause or revoke the mandate at any time through your bank or UPI app. This stops future charges but does not refund past charges.

Recurring payments are also subject to the rules of banks, card networks, UPI and payment service providers. A renewal may fail if the mandate expires or is cancelled, the Payment Method is declined, or for other reasons beyond AIshala's control.

Failed renewal

If a renewal payment fails, AIshala may try to process it again through the same payment mechanism over the following 3 days, and will notify you. If the payment still fails, access to your Subscription may be suspended until payment is made.

We will email a receipt or invoice for each payment to the address on your account.

4. Renewal amount, taxes and price changes

The renewal amount is the price of your plan at the time of renewal. Prices are shown in Indian Rupees (₹) and include GST at the applicable rate, unless stated otherwise. Your bank may add its own fees, which we do not control.

Price changes

If AIshala changes the price of your plan:

• We will tell you the new price by email or in-app message at least 7 days before it is charged, as required by applicable law and payment-network rules.
• The new price applies only from your next Renewal Date after that notice.
• If you do not agree, you can cancel auto-renewal before that date and you will not be charged the new price.
• If the new price needs a fresh mandate or authentication under RBI rules, we will ask you to approve it. We will not charge a higher amount without the approval your bank requires.

Promotional or discounted prices apply only for the period stated in the offer. After that, the regular price applies.

5. Cancellation

You can cancel auto-renewal at any time. To avoid the next charge, cancel at least 24 hours before your Renewal Date. You can cancel in either of these ways:

• Log in at aishala.in, go to Profile → Subscription, and select Cancel auto-renewal.
• Email connect@aishala.in from your registered email address.

Please note

• Cancelling auto-renewal stops future renewal charges. You keep access until the end of your current paid Subscription Period, unless otherwise stated.
• Deleting your account, or simply not using the Service, does not cancel auto-renewal. Please cancel using one of the methods above.
• Cancelling is as easy as subscribing. We will not require you to call us, answer a survey or go through extra steps to cancel.

We will email you a confirmation when your cancellation is processed. Keep it for your records.

6. Refunds

Refunds are governed by our separate Refund Policy, which forms part of these Terms. It explains when you are eligible for a refund, how to request one and how long it takes.

7. Account use and cancellation by AIshala

Your Subscription is personal to you. It gives you a limited, non-transferable right to use AIshala's content and tools for your own learning while your Subscription is active.

You must not:

• share your login or let others use your account;
• copy, resell or redistribute course content, except where the Service offers a download feature;
• use bots, scrapers or other automated means to access the Service.

Changes to content

We regularly update, add and remove courses, modules, challenges and features to keep the Service current. We do not guarantee that any particular item will stay available for your whole Subscription.

Suspension or termination by AIshala

AIshala may suspend or end your Subscription in cases of misuse, fraudulent activity, violation of these Terms, or other circumstances permitted by applicable law. Where reasonable, we will warn you first. If we end your Subscription without such cause, we will refund the unused part of your current paid Subscription Period.

When your Subscription ends, you lose access to paid features. Certificates you have already earned stay valid.

8. Liability, changes, governing law and contact

Limitation of liability

To the extent permitted by law, our total liability to you for any claim relating to your Subscription is limited to the amount you paid us in the 3 months before the claim arose. This does not limit liability that cannot be excluded under Indian law.

Changes to these Terms

AIshala may change its subscription plans, pricing, features or these Terms from time to time. We will tell you about material changes affecting your existing Subscription by email or in-app message at least 7 days before they take effect. If you do not agree, you may cancel auto-renewal before then.

Governing law and disputes

These Terms are governed by the laws of India. Subject to your rights under the Consumer Protection Act, 2019, the courts at Hyderabad, Telangana, India will have exclusive jurisdiction. We encourage you to contact us first so we can try to resolve any issue informally.

Grievance Officer

In line with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Rules, 2021, you can raise complaints with our Grievance Officer:
